TERMS AND CONDITIONS – CONSUMER PROMOTION

I. Offer Details & Concept

The Offer shall be available till further notice ("Offer Period"), on purchase of select Samsung Smartphones (hereinafter referred to as "Product"), on the terms and conditions (“Terms”) mentioned below:

II. General terms and conditions of the Offer:

1. The Offer is valid for end customers only who have attained the age of 18 years or above (“Participants”), except employees and family members of Samsung and National Distributors and their affiliate / associate / subsidiary companies and their suppliers, dealers / distributors / retailers, advertising agencies and event management companies . Entries by person below age of 18 years shall be disqualified.
2. The Offer is applicable only on purchase of select Samsung Smartphones (Products).
3. This Offer is applicable only if the Participant purchases a Product during the Offer Period, from Samsung authorized dealers (“Outlet”) only in Bangladesh and follows the instructions mentioned hereinafter. Offer not valid on purchase made on e-commerce websites and from any other Outlet.
4. In order to participate in the Offer, participants required to buy a Product from the Outlets during the Offer period and activate the same by inserting a Sim card. The IMEI number of the Product activated will be captured in the Samsung database.
5. After purchasing the Product the participant will have to activate the Product by inserting a SIM card and thereafter send an SMS from the same writing Win <space>IMEI number of the new Product and send to 6969. Post sending the SMS he/she will receive a return SMS notifying him/her the Prize he/she has received (if any) i.e. Taka 500/Taka 1000/Taka 3000/Taka 5000/LED TV.
6. Cash discounts up to Taka 5000 varying from model to model till stocks last. Cash discount will be provided instantly from deducting customer invoice by retail.
7. There shall be 1 LED TV as a daily Prize which any one Participant will be eligible to win.
8. LED TV will be handed over to the winner within 7 days from the date of him/her being notified as winner.
9. The mega prize Prize i.e. a Sedan Car (1,500 C approximately reconditioned) will be selected after the campaign period through an electronic lottery among all the purchased IMEIs during the campaign period.
10. The winners for the Cash discount & the daily Prize shall be selected through a random lottery draw at the backhand by the National distributor or its authorized third party agency. The lottery draw for the Mega Prize shall also be conducted by the National distributor or its authorized third party agency on random basis whose decision shall be final & binding and no claims shall be entertained.
11. A Participant shall be eligible for only one (01) Prize during the Offer Period whether it is the cash discount, daily Prize or the mega Prize.
12. Winners will be informed through phone/SMS/email captured by the dealer at the time of purchase of the Product.
13. The winners will be required to submit the following documents before receiving the Prize:
    a. Name, Address, Contact Number, Alternate Mobile Number, Email ID, photo ID
    b. Copy of Invoice of the purchase – whether within the offer period
    c. Participant’s National ID and Address proof, Passport (Self Attested) or any other documents as informed/required.
14. All Prizes shall be on “AS IS” basis and till the stocks last. National Distributors disclaims any and all claims and liabilities with respect to the Mega Prize i.e. the Sedan car. Samsung shall only be liable for the standard manufacture warranty and no other claims shall lie against Samsung.
15. The Participant shall be eligible to receive only one Prize against one purchase. Under any circumstances the Prize cannot be exchanged with any other gift and is non-encashable.
16. The applicable taxes for the LED TV shall have to be borne by the winners. For the Mega Prize i.e. Sedan car, National Distributors shall bear only the Ex-showroom price of the car and rest all other charges and taxes shall have to be borne by the winner and nobody else will be responsible for the same. The taxes shall have to paid by the Winner as per the laws of Bangladesh i.e. 20% of the lottery amount (the cost of the Prize in the present case) in the name of Dhaka dist- Zone-9, Dhaka. 17. Post submission & verification of the documents above mentioned documents, the winners shall be informed about the date & venue from where they can collect their Prize.

Further, National distributor shall be at liberty to use the entries received for its media coverage, advertisement or publicity in any form which is existing today or will be known anytime in the future without any further consideration to the Participant including promotion of any products manufactured, distributed and/or supplied by it;
22. Participant agrees that all/any pictures appearing in Offer are fictitious and any resemblance to real persons, living or dead, is purely coincidental. Pictures and images shown in the promotional material for the Offer or on the website are visual representations and the actual gift, and their colours, model numbers and/or features may differ.
23. National distributor reserves the right to reject any Participant’s entry on any grounds without the need to notify the Participant of the reasons for rejection.
24. No other offers can be clubbed with this Offer.

III. Representation and Warranties by Participant:

1. Participant represents and warrants that he/she is legally competent to enter into binding contracts under applicable laws. By taking availing the Offer, the Participant warrants that all information provided by the Participant regarding its name, age, state, city, address, phone number, etc., is true, correct, accurate and complete and that the Participant is authorized to provide such information and consents to the use of such information by National distributor.
2. Participant agrees and consents that any and all information submitted by the Participant including but not limited to the submissions and personal information of the Participants may be required to be shared with other third parties engaged, for the purposes of verifying and/or audit the authenticity of the entries received from the Participants. Further, the Participant hereby understands that such third parties may be located outside the jurisdiction of Bangladesh and notwithstanding anything, each Participant consents to transfer of information (including any personal information) to any such locations.
3. Participant gives National distributor the right to publish and broadcast anywhere in the world, for editorial, advertising, promotional, marketing and/or other purposes and in any media, Participant’s and/or Winner’s name, image, likeness and/or photograph (except where prohibited by law) without any further permission or consent or consideration in any form, including but not limited to, royalty.
4. Participant agrees that the National distributor and Samsung shall not be liable for any claims, costs, injuries, losses, or damages of any kind arising out of or in connection with the Offer or with the acceptance, possession, or use of any Gift.
5. Participant hereby agrees to indemnify and keep National distributor and Samsung, its associated companies, its event management company and their respective directors, officers, employees, contractors and agents, indemnified against any and all losses, claims (including but not limited to third party claims), injuries, costs, fees, fines, penalties, taxes, charges and any other liability arising out of any act of omission, commission, fraud, negligence or misconduct by the Participant.
6. The Participant agrees that this Offer is only valid on the purchase of brand new Product during the Offer Period and is not valid on the sale of second hand, refurbished, category Product etc.

IV. Disclaimers:

1. National distributor shall not be responsible for any force majeure event that may prevent a Participant from participating in the Offer. Further, National distributor will not be responsible or liable for: (a) any disruptions, losses or damages caused by events beyond the control of the promoter; or (b) any printing or typographical errors in any materials associated with the Offer or (c) any delay, damage, non receipt, lost, misrouted gift; (d) any defect in the gift.
2. National distributor and Samsung shall not be liable for delay in delivery gift due to non-availability of stocks or for any other reason beyond its control.
3. National distributor has the right to cancel entries with incomplete information or illegal contents (statements of a racist, sexist or defamatory nature) or statements glorifying violence which could be construed as deriding or insulting or similarly offending specific individuals or groups.
4. The Prize cannot be exchanged with any product or item, is non-transferable and cannot be en-cashed under any circumstances. The decision of the National distributor in respect to the Gift shall be final and no dispute shall be entertained in this regard.
5. National distributor and Samsung shall not be liable for any loss or damage due to Act of God, Governmental actions, other force majeure circumstances and shall not be liable to pay any amount as compensation or otherwise for any such loss. Standard manufacturer’s warranty, if any, shall be applicable for all Products.
6. National distributor reserves the absolute right to amend the Terms of the Offer or extend the Offer Period or cancel or discontinue the Offer or any part thereof without giving any reasons or prior notice.
7. Offer shall be void in any state where prohibited by law. Failure by National distributor to enforce any of its right at any stage does not constitute a waiver of those rights.
8. In the event of any conflict or inconsistency regarding any instructions, rules and conditions on any advertising or promotional material relating to the Offer, these Terms shall prevail over all such other instructions, rules and conditions.

V. Intellectual Property Rights:

All rights, title and interest including but not limited to the Intellectual Property Rights in the promotional material(s) and any/all registrations received shall vest solely and exclusively with National distributor and Samsung respectively at all times and National distributor and Samsung shall be entitled to use the database of the entries received or any information in any media for future promotional, marketing and publicity purpose without any further reference or payment or compensation to Participant. Participant shall be solely responsible for any consequences which may arise due to any kind of infringement of copyrights or any kind of intellectual property rights belonging to any other person/ entity etc. and also undertake to indemnify National distributor and Samsung and its officers, directors, employees etc on the happening of such an event (including without limitation cost of attorney, legal charges etc.) on full indemnity basis.

VI. Jurisdiction:

Decision of National distributor in relation to the Offer and matter incidental thereto shall be final and binding on the Participant. All disputes shall be governed by the laws of Bangladesh. These Terms shall be governed by exclusive laws of Bangladesh and the courts located at Bangladesh shall have the exclusive jurisdiction in respect of all the subject matter with relation to the Offer.
